VENDOR TERMS AND CONDITIONS

These Vendor Terms and Conditions apply to venues, caterers, decorators, photographers, videographers, transport providers, rental providers, entertainers, planners, and other businesses offering services through VenueHub.
By registering, submitting a listing, accepting a VenueHub inquiry, providing a quotation, or accepting a booking, the vendor agrees to these Vendor Terms.
1. Independent Vendor Relationship
The vendor operates as an independent business.
Nothing in these Vendor Terms creates:
- Employment
- Partnership
- Agency
- Franchise
- Joint ownership
The vendor is responsible for its own business, staff, taxes, equipment, licences, insurance, and legal compliance.
The vendor may not represent itself as an employee, legal representative, or owner of VenueHub.
2. Vendor Eligibility
A vendor must:
- Be legally permitted to provide its services
- Provide accurate identity and business information
- Maintain required licences and approvals
- Have authority to list the venue or service
- Provide valid contact and payment details
- Cooperate with reasonable verification checks
VenueHub may request:
- CNIC
- Business registration
- Tax information
- Bank details
- Venue ownership or authorization documents
- Licences
- Certificates
- Insurance information
- References
- Portfolio evidence
3. Accurate Listings
The vendor must ensure that all information supplied to VenueHub is accurate, including:
- Business name
- Address
- Contact information
- Venue capacity
- Facilities
- Parking
- Accessibility
- Packages
- Prices
- Availability
- Restrictions
- Photographs
- Service descriptions
The vendor must promptly correct outdated or inaccurate information.
4. Photographs and Intellectual Property
The vendor confirms that it owns or has permission to use all photographs, videos, logos, descriptions, and other content supplied to VenueHub.
The vendor grants VenueHub a non-exclusive, worldwide, royalty-free licence to display, reproduce, resize, edit for formatting, promote, and distribute that content for VenueHub business and marketing purposes.
The vendor remains responsible for copyright, privacy, and permission claims relating to its content.
5. Pricing
The vendor must provide clear and accurate pricing.
The vendor must disclose:
- Base price
- Taxes
- Service charges
- Overtime charges
- Cleaning charges
- Security deposits
- Transport charges
- Equipment charges
- Mandatory add-ons
- Seasonal charges
- Cancellation charges
Hidden charges are prohibited.
A vendor must honour a price included in a confirmed booking unless the customer requests a change or the parties agree otherwise in writing.
6. Availability
The vendor must provide accurate availability and promptly notify VenueHub when a date, venue, service, employee, or item becomes unavailable.
The vendor must not accept a VenueHub booking for a date it cannot reasonably fulfil.
7. Quotations
Vendor quotations must accurately describe:
- Included services
- Excluded services
- Service date
- Timings
- Guest capacity
- Equipment
- Staff
- Materials
- Payment schedule
- Cancellation conditions
- Validity period
The vendor must not materially reduce an accepted service without the customer’s and VenueHub’s approval.
8. Booking Acceptance
A vendor booking becomes confirmed when VenueHub communicates written confirmation after the required acceptance and payment steps have been completed.
After confirmation, the vendor must reserve the agreed date, staff, equipment, venue, or service capacity.
9. Vendor Service Standards
The vendor must:
- Provide services professionally
- Arrive on time
- Use suitable equipment and materials
- Maintain reasonable hygiene and safety
- Treat customers respectfully
- Follow confirmed specifications
- Employ competent staff
- Respond promptly to VenueHub
- Report problems immediately
- Avoid misleading substitutions
10. Legal and Safety Compliance
The vendor is responsible for complying with all laws, licences, permits, and safety requirements applicable to its business.
This may include:
- Food-safety requirements
- Fire and building safety
- Venue operating approvals
- Transport licences
- Employment obligations
- Tax obligations
- Music and entertainment permissions
- Equipment-safety requirements
- Drone or photography permissions
- Crowd and capacity restrictions
11. Staff and Subcontractors
The vendor is responsible for its staff, workers, agents, drivers, contractors, and subcontractors.
A vendor must not substitute a material service provider without notifying VenueHub and obtaining approval where the identity or expertise of that person formed part of the booking.
12. Customer Data
Customer information received through VenueHub may only be used to:
- Respond to the inquiry
- Prepare a quotation
- Confirm the booking
- Deliver the service
- Process payment
- Resolve a legitimate complaint
Vendors must not:
- Sell customer data
- Share it unnecessarily
- Add customers to unrelated marketing lists without permission
- Use it for harassment or unsolicited communication
- Retain it longer than reasonably required
13. Payments, Commission, and Fees
VenueHub may charge:
- Commission
- Listing fees
- Subscription fees
- Marketing fees
- Lead fees
- Payment-processing fees
- Other agreed service fees
The applicable charges will be stated in the vendor’s onboarding confirmation, commercial agreement, invoice, or written communication.
Where VenueHub collects customer payment, VenueHub may deduct agreed fees before paying the vendor.
14. Vendor Payouts
Vendor payouts are subject to:
- Receipt of cleared customer funds
- Completion of required verification
- Applicable commission
- Payment-processing charges
- Refunds
- Disputes
- Chargebacks
- Service completion conditions
VenueHub may temporarily withhold a disputed amount while investigating a complaint, refund request, fraud concern, or chargeback.
15. Unauthorized Payments
A vendor must not demand unauthorized payments from a VenueHub customer.
Any additional charge must be:
- Related to a genuine customer change
- Clearly explained
- Approved by the customer
- Communicated to VenueHub
- Properly documented
16. Advance Payments
A customer’s advance is generally non-refundable and non-adjustable under VenueHub’s Refund Policy.
However, a vendor is responsible for returning funds or compensating VenueHub if:
- The vendor cancels without valid grounds
- The vendor fails to provide the service
- The vendor provides materially misleading information
- The vendor accepts a booking it cannot fulfil
- A refund or chargeback results from vendor fault
17. Vendor Cancellation
A vendor must not cancel a confirmed booking except for a genuine emergency, legal restriction, safety issue, or force-majeure event without consent of VenueHub
The vendor must notify VenueHub immediately and cooperate in arranging a suitable replacement.
Where cancellation results from vendor fault, VenueHub may:
- Refund the customer
- Arrange a replacement
- Recover reasonable replacement costs
- Withhold vendor payouts
- Suspend the listing
- Terminate the vendor relationship
18. Customer Complaints
The vendor must respond promptly to complaints and provide:
- Booking records
- Messages
- Photographs
- Delivery evidence
- Staff statements
- Receipts
- Other relevant information
VenueHub may facilitate complaint resolution but is not required to decide every dispute in the vendor’s favour.
19. Refunds and Chargebacks
Where a refund or chargeback is caused by vendor non-performance, misconduct, misrepresentation, duplicate charging, or service failure, VenueHub will deduct the amount from:
- Pending payouts
- Future payouts
- Vendor deposits
- Other amounts payable to the vendor
The vendor must reimburse VenueHub for valid amounts paid because of the vendor’s breach.
20. Anti-Circumvention
A vendor must not intentionally use VenueHub-generated inquiries to bypass VenueHub’s agreed fees, commission, payment process, or booking system.
Unless a separate vendor agreement states otherwise, this restriction applies to bookings resulting from a VenueHub introduction for 12 months after the initial introduction.
VenueHub may suspend or terminate a vendor that deliberately conceals or diverts VenueHub-generated bookings.
21. Reviews and Reputation
Vendors must not:
- Create fake reviews
- Pay for misleading reviews
- Threaten customers over reviews
- Offer undisclosed incentives for positive reviews
- Submit reviews about their own business
- Manipulate ratings
VenueHub may investigate and remove fraudulent review activity.
22. Insurance
A vendor must maintain appropriate insurance where required by law, the service type, the venue, or VenueHub’s onboarding requirements.
VenueHub’s involvement in a booking does not replace the vendor’s insurance responsibilities.
23. Damage and Injury
The vendor is responsible for damage, loss, injury, or claims caused by:
- Vendor negligence
- Unsafe equipment
- Vendor staff
- Vendor vehicles
- Vendor materials
- Vendor subcontractors
- Breach of safety requirements
The vendor must promptly notify VenueHub of any serious incident.
24. Confidentiality
The vendor must keep confidential:
- Customer information
- VenueHub pricing arrangements
- Commission structures
- Internal processes
- Non-public business information
- Complaint and dispute records
Confidential information may be disclosed where required by law or authorized in writing.
25. Indemnity
To the extent permitted by law, the vendor agrees to compensate VenueHub for reasonable claims, losses, penalties, damages, and costs resulting from:
- Vendor negligence
- Vendor misconduct
- Legal non-compliance
- Intellectual-property infringement
- Misuse of customer data
- False listing information
- Staff or subcontractor conduct
- Breach of these Vendor Terms
26. Limitation of VenueHub’s Liability
VenueHub does not guarantee:
- A minimum number of inquiries
- A minimum number of bookings
- Continuous website availability
- A specific level of revenue
- Customer attendance
- Customer payment where VenueHub has not received cleared funds
- The accuracy of information supplied by customers
VenueHub’s liability will be limited to the maximum extent permitted by applicable law.
27. Suspension and Termination
VenueHub may suspend, restrict, or terminate a vendor for:
- Fraud
- Repeated cancellation
- Poor service
- Safety complaints
- Hidden charges
- Misleading listings
- Fake reviews
- Misuse of customer information
- Non-payment
- Circumvention
- Illegal activity
- Abusive conduct
- Breach of these Vendor Terms
VenueHub may remove vendor content after termination.
Outstanding payment, refund, confidentiality, intellectual-property, data-protection, indemnity, and dispute obligations will continue where applicable.
28. Changes to Vendor Terms
VenueHub may update these Vendor Terms.
Material changes may be communicated through email, WhatsApp, the vendor dashboard, or VenueHub.pk. Continued use of VenueHub after the effective date may constitute acceptance of the updated terms.
29. Governing Law and Disputes
These Vendor Terms are governed by the applicable laws of Pakistan.
The vendor and VenueHub should first attempt to resolve a dispute through written discussion. Unresolved disputes may be submitted to a competent court or authority in Pakistan.
